End User License Agreement (EULA)

1. General Scope

This End User License Agreement ("EULA") is a legal agreement between you (either an individual or a single entity) and ValidCode Solutions for the digital software assets, source code, templates, and associated documentation (collectively, the "Software Product") that accompany this EULA.

By purchasing, downloading, or using the Software Product, you agree to be bound by the terms of this EULA. If you do not agree to the terms of this EULA, do not download or use the Software Product.

2. Grant of License

ValidCode Solutions grants you a personal, non-exclusive, non-transferable, limited license to use the Software Product for the purposes of developing your own commercial or non-commercial end products.

  • Standard License: Allows you to use the Software Product to create one (1) single End Product for yourself or for one client (a "single application").
  • Unlimited/Enterprise License (if applicable): Allows you to use the Software Product to create unlimited End Products for yourself or for your clients.

3. Permitted Uses

Under the license granted, you may:

  • Modify the source code to suit the needs of your specific End Product.
  • Deploy the End Product to production environments for commercial use.
  • Charge your end-users for accessing the service provided by your End Product.
  • Use the code as a foundation to build bespoke client projects (if licensed accordingly).

4. Prohibited Uses

You are strictly prohibited from:

  • Redistribution: You may not sell, rent, lease, sub-license, redistribute, or syndicate the Software Product as a standalone product or template.
  • Competing Products: You may not use the Software Product to create a derivative product that directly competes with the original Software Product (e.g., creating a SaaS boilerplate template to sell to other developers).
  • Open Source: You may not publish the raw source code of the Software Product in public repositories (e.g., public GitHub/GitLab repositories).

5. Intellectual Property Rights

The Software Product is licensed, not sold. ValidCode Solutions retains all intellectual property rights, including copyrights, patents, and trademarks, in and to the Software Product. Your use of the Software Product is strictly limited to the rights expressly granted in this EULA.

6. Termination

Without prejudice to any other rights, ValidCode Solutions may terminate this EULA if you fail to comply with its terms and conditions. In such an event, you must destroy all copies of the Software Product and all of its component parts.

7. Disclaimer of Warranties

The Software Product is provided "AS IS" without warranty of any kind, either express or implied, including, but not limited to, the implied warranties of merchantability and fitness for a particular purpose. ValidCode Solutions does not warrant that the functions contained in the Software Product will meet your requirements or that the operation of the Software Product will be uninterrupted or error-free.

8. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall ValidCode Solutions be liable for any special, incidental, indirect, or consequential damages whatsoever (including, without limitation, damages for loss of business profits, business interruption, loss of business information, or any other pecuniary loss) arising out of the use of or inability to use the Software Product, even if ValidCode Solutions has been advised of the possibility of such damages.
