1. Acceptance of Terms
By accessing and using the website located at validcodesolutions.duckdns.org (the "Website") and purchasing digital software assets from ValidCode Solutions, you accept and agree to be bound by the terms and provisions of this agreement. In addition, when using these particular services, you shall be subject to any posted guidelines or rules applicable to such services.
2. Digital Products and Services
ValidCode Solutions provides downloadable digital software assets, including but not limited to SaaS boilerplates, mobile UI kits, deployment scripts, and admin dashboard source code ("Products"). We also offer optional "Done-For-You" managed setup services where explicitly stated.
All Products are provided "as is" and "as available". We reserve the right to modify, suspend, or discontinue any Product or service at any time without prior notice.
3. Licensing and Usage Restrictions
Upon purchase, you are granted a non-exclusive, non-transferable license to use the Products in accordance with our End User License Agreement (EULA). You may not redistribute, resell, lease, license, sub-license, or offer the Products to any third party in their original or modified form as a competing digital product or template.
4. Merchant of Record and Payment Processing
All financial transactions are processed securely. ValidCode Solutions acts as the Merchant of Record (MoR) for the digital goods sold on this Website. By making a purchase, you agree to provide current, complete, and accurate purchase and account information.
5. Intellectual Property Rights
The Website and its original content, features, and functionality are owned by ValidCode Solutions and are protected by international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws. The digital Products remain the intellectual property of ValidCode Solutions, subject to the rights granted to you under the EULA.
6. Limitation of Liability
In no event shall ValidCode Solutions, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Products; (ii) any conduct or content of any third party on the Service; (iii) any content obtained from the Service; and (iv) unauthorized access, use or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence) or any other legal theory, whether or not we have been informed of the possibility of such damage.
7. Governing Law
These Terms shall be governed and construed in accordance with the laws of the jurisdiction in which ValidCode Solutions operates, without regard to its conflict of law provisions.
8. Changes to Terms
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.
